{"id":1812,"date":"2022-09-14T11:15:00","date_gmt":"2022-09-14T06:15:00","guid":{"rendered":"https:\/\/www.bendiksenlaw.co\/?p=1812"},"modified":"2022-09-14T22:20:01","modified_gmt":"2022-09-14T17:20:01","slug":"is-it-possible-to-change-the-domicile-of-a-colombian-company-to-a-foreign-country","status":"publish","type":"post","link":"https:\/\/www.bendiksenlaw.co\/es\/es-posible-cambiar-el-domicilio-de-una-sociedad-colombiana-al-extranjero\/","title":{"rendered":"\u00bfEs Posible Cambiar el Domicilio de una Sociedad Colombiana al Extranjero?"},"content":{"rendered":"<p>La Superintendencia de Sociedades recientemente resolvi\u00f3 una consulta con respecto al cambio de domicilio de una sociedad, espec\u00edficamente frente al proceso de \u201cre domiciliaci\u00f3n transfronteriza\u201d. Al respecto, afirm\u00f3 que este proceso consiste en que una sociedad que cuenta con domicilio en determinado pa\u00eds, cambie su domicilio a otro pa\u00eds sin someterse a un proceso liquidatorio o fusionarse o escindirse con una sociedad extranjera. De acuerdo a lo anterior, afirm\u00f3 que en Colombia las sociedades nacionales, aquellas que cuentan con domicilio en el pa\u00eds, no tienen la posibilidad de cambiar su domicilio a un pa\u00eds extranjero sin adelantar alguno de los procesos anteriormente mencionados. Es decir, no existe la posibilidad de realizar una re domiciliaci\u00f3n transfronteriza. De igual manera, tampoco es posible que una sociedad extranjera cambie su domicilio a Colombia sin liquidarse, fusionarse o escindirse.<\/p>\n\n\n\n<p>Siguiendo lo anterior, la Superintendencia afirm\u00f3 que de acuerdo a la legislaci\u00f3n colombiana solo es posible adelantar el cambio de domicilio dentro del territorio nacional. Sin embargo, debe tenerse en cuenta que esta decisi\u00f3n de cambiar el domicilio de la sociedad requiere de una reforma a los estatutos por lo que es necesario que el m\u00e1ximo \u00f3rgano social (asamblea de accionistas o junta de socios) se re\u00fana y la apruebe. Posteriormente, la reforma deber\u00e1 inscribirse en el Registro Mercantil. Para esto, basta con que las sociedades inscriban ante la C\u00e1mara de Comercio del domicilio de origen, el acta correspondiente en la cual consta la aprobaci\u00f3n de la decisi\u00f3n de cambiar el domicilio de la sociedad.
