{"id":1792,"date":"2022-08-23T13:55:00","date_gmt":"2022-08-23T08:55:00","guid":{"rendered":"https:\/\/www.bendiksenlaw.co\/?p=1792"},"modified":"2022-08-24T00:50:41","modified_gmt":"2022-08-23T19:50:41","slug":"applications-for-registration-or-transfer-of-distinctive-signs-of-business-groups","status":"publish","type":"post","link":"https:\/\/www.bendiksenlaw.co\/es\/solicitudes-de-registro-o-transferencia-de-signos-distintivos-de-grupos-empresariales\/","title":{"rendered":"Solicitudes de Registro o Transferencia de Signos Distintivos de Grupos Empresariales"},"content":{"rendered":"<p class=\"wp-block-paragraph\">El pasado 5 de agosto de 2022 la Superintendencia de Industria y Comercio expidi\u00f3 la Resoluci\u00f3n 51804 de 2022 mediante la cual adiciona a su Circular \u00danica disposiciones relacionadas con las solicitudes de registro y transferencia de signos distintivos de personas jur\u00eddicas que pertenecen a un mismo grupo empresarial. Al respecto, establece que cuando esta entidad realice el examen de registrabilidad de las marcas debe tener en cuenta si los antecedentes que impiden el registro o transferencia del signo pertenecen al mismo grupo empresarial del solicitante, caso en el cual el registro no se entender\u00e1 como una afectaci\u00f3n a los derechos de un tercero. (Al respecto, debe recordarse que existe grupo empresarial cuando: (i) hay una situaci\u00f3n de control, es decir, el poder decisorio de la compa\u00f1\u00eda depende de la voluntad de otra u otras personas y, (ii) cuando existe unidad de prop\u00f3sito y direcci\u00f3n entre los miembros del grupo empresarial. Respecto a este \u00faltimo requisito la Supersociedades ha establecido que se refiere a que todas las sociedades persiguan un mismo objetivo que ha sido fijado por la sociedad controlante sin que esto obste para que cada una de las sociedades desarrollen de forma individual su objeto social y actividades.)<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Para estos casos, la resoluci\u00f3n establece que es deber de los solicitantes informar a la superintendencia sobre el grupo empresarial al que pertenece. Sin embargo, en el caso de que el solicitante sea una persona extranjera, deber\u00e1 aportar: (i) una declaraci\u00f3n firmada por el representante legal del solicitante o por cualquiera de los representantes legales de las sociedades miembro del grupo empresarial, en la que se exponga la unidad de prop\u00f3sito y direcci\u00f3n existente, y (ii) un documento expedido por la autoridad competente del pa\u00eds al que pertenece la persona extranjera en el que tambi\u00e9n se especifique cu\u00e1l es la unidad de prop\u00f3sito y direcci\u00f3n existente entre los miembros del grupo empresarial.
