{"id":1781,"date":"2022-08-11T14:05:00","date_gmt":"2022-08-11T09:05:00","guid":{"rendered":"https:\/\/www.bendiksenlaw.co\/?p=1781"},"modified":"2022-08-24T02:44:39","modified_gmt":"2022-08-23T21:44:39","slug":"term-to-exercise-the-right-of-inspection-in-simplified-joint-stock-companies-sas","status":"publish","type":"post","link":"https:\/\/www.bendiksenlaw.co\/es\/termino-para-ejercer-el-derecho-de-inspeccion-en-sas\/","title":{"rendered":"T\u00e9rmino para Ejercer el Derecho de Inspecci\u00f3n en SAS"},"content":{"rendered":"<p>El derecho de inspecci\u00f3n es la facultad que tienen los asociados o accionistas de una sociedad para examinar, directamente o a trav\u00e9s de una persona autorizada para tal fin, los libros y papeles comerciales de la sociedad en la cual realizaron sus aportes. Este derecho tiene como fin permitir que los socios o accionistas que no hacen parte de la administraci\u00f3n de la sociedad se enteren de la situaci\u00f3n administrativa, financiera, contable y jur\u00eddica de la sociedad. As\u00ed, es obligaci\u00f3n de los administradores de la sociedad el permitir que los socios o accionistas accedan a esta informaci\u00f3n. En caso de no permitirlo, esto es causal suficiente para que el \u00f3rgano social competente o la superintendencia remueva a los administradores de su cargo.<\/p>\n\n\n\n<p>Aunado a lo anterior, el art\u00edculo 20 de la Ley 1258 de 2008 establece que en las sociedades por acciones simplificadas, los accionistas podr\u00e1n ejercer su derecho de inspecci\u00f3n durante los cinco (5) d\u00edas h\u00e1biles anteriores a la reuni\u00f3n en la que se deben aprobar balances de fin de ejercicio u operaciones de transformaci\u00f3n, fusi\u00f3n o escisi\u00f3n. Sin embargo, tambi\u00e9n establece la posibilidad de que en los estatutos de cada sociedad se pacte un t\u00e9rmino superior. Al respecto se pronunci\u00f3 recientemente la Superintendencia de Sociedades, reiterando que es posible que los accionistas pacten en los estatutos la posibilidad de ejercer el derecho de inspecci\u00f3n de forma permanente.
