{"id":1769,"date":"2022-07-07T14:31:00","date_gmt":"2022-07-07T09:31:00","guid":{"rendered":"https:\/\/www.bendiksenlaw.co\/?p=1769"},"modified":"2022-07-08T00:40:37","modified_gmt":"2022-07-07T19:40:37","slug":"virtual-meetings-of-corporate-organs-after-the-health-emergency","status":"publish","type":"post","link":"https:\/\/www.bendiksenlaw.co\/es\/reuniones-virtuales-de-organos-sociales-despues-de-la-emergencia-sanitaria\/","title":{"rendered":"Reuniones Virtuales de \u00d3rganos Sociales Despu\u00e9s de la Emergencia Sanitaria"},"content":{"rendered":"<p>La Superintendencia de Sociedades recientemente record\u00f3 que a pesar de que la emergencia sanitaria haya finalizado, el Decreto 398 de 2020 sigue estando vigente. Por lo tanto, es posible que las personas jur\u00eddicas contin\u00faen realizando sus reuniones de juntas de socios, asambleas generales de accionistas o de juntas directivas de forma no presencial y dando cumplimiento a los requisitos establecidos tanto en la ley como en los estatutos de la sociedad. Al respecto, debe recordarse que para que puedan llevarse a cabo reuniones no presenciales es necesario que todos los miembros o socios que participan en la reuni\u00f3n puedan deliberar o decidir por comunicaci\u00f3n simult\u00e1nea o sucesiva, de acuerdo a lo establecido en el art\u00edculo 19 de la Ley 222 de 1995.<\/p>\n\n\n\n<p>Adicionalmente, el citado Decreto 398 establece que el representante legal de la sociedad debe dejar constancia en el acta de la reuni\u00f3n sobre la continuidad del qu\u00f3rum necesario durante toda la reuni\u00f3n. Es decir, deber\u00e1 certificar que durante la reuni\u00f3n se cont\u00f3 con el n\u00famero necesario de participantes para deliberar y decidir seg\u00fan lo que establezca la ley o los estatutos de cada sociedad. As\u00ed mismo, deber\u00e1 verificar la identidad de los participantes para garantizar que en efecto se trata de los socios, accionistas o miembros de junta directiva o de sus apoderados, seg\u00fan corresponda.<\/p>\n\n\n\n<p>Por \u00faltimo, este decreto precisa que son aplicables a las reuniones de junta de socios, asamblea de accionistas o junta directiva realizadas de forma no presencial o mixta (que permiten la presencia de los participantes tanto de forma f\u00edsica como virtual), las disposiciones legales y estatutarias sobre convocatoria, quorum y mayor\u00edas de las reuniones presenciales.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.bendiksenlaw.co\/es\/contacto\/\">contactarnos<\/a> en caso de que requiera asesor\u00eda con respecto a este o cualquier otro tema que afecte a su sociedad.<\/p>","protected":false},"excerpt":{"rendered":"<p>The Colombian Superintendence of Companies recently reminded the public that, despite the fact that the health emergency has ended, Decree 398 of 2020 is still in force.
