El Ministerio de Comercio, Industria y Turismo expidi\u00f3 el Decreto 255 de 2022 con el fin de establecer las condiciones y requisitos m\u00ednimos con los que deben cumplir las Normas Corporativas Vinculantes implementadas en un grupo empresarial. Estas normas constan de principios, pol\u00edticas y c\u00f3digos que imponen deberes y obligaciones a los miembros de un grupo empresarial encargados del tratamiento de datos personales con la finalidad de garantizar la protecci\u00f3n y respeto de los derechos de los titulares de estos datos y el cumplimiento de toda la normatividad. Todas las sociedades que hagan parte de un mismo grupo empresarial y que transfieran datos personales a un miembro del grupo ubicado fuera del territorio colombiano, quien ser\u00e1 el responsable del tratamiento de estos datos, estar\u00e1n obligadas a dar cumplimiento a estas disposiciones. Al respecto debe recordarse que, seg\u00fan la ley 222 de 1995, existe un grupo empresarial cuando entre varias sociedades relacionadas existe un v\u00ednculo de subordinaci\u00f3n y tienen unidad de prop\u00f3sito y direcci\u00f3n. As\u00ed, hay una sociedad matriz<\/em> que fija un objetivo y controla a las otras sociedades subordinadas<\/em> para que todas, en conjunto, persiguan la consecuci\u00f3n de dicho objetivo.<\/p>\n\n\n\n

En este nuevo decreto se establece que las Normas Corporativas Vinculantes deben estar alineadas con las obligaciones generales que se imponen a las personas encargadas del tratamiento de datos personales, debiendo implementar mecanismos que permitan garantizar los derechos de los titulares de estos datos y aseguren el total cumplimiento de los deberes a su cargo. En caso de incumplimiento de estas normas, todas<\/em> las empresas que hagan parte del grupo empresarial ser\u00e1n solidariamente responsables, es decir, la Superintendencia de Industria y Comercio (SIC) podr\u00e1 investigar y sancionar a cualquiera de los miembros por las acciones de los dem\u00e1s miembros.<\/p>\n\n\n\n

Los grupos empresariales deber\u00e1n someter estas normas a la aprobaci\u00f3n del \u00f3rgano correspondiente seg\u00fan lo establecido por los estatutos o acuerdos del grupo empresarial para poderlas presentar formalmente a la SIC quien verificar\u00e1 el cumplimiento de todos los requisitos y emitir\u00e1 una certificaci\u00f3n para que puedan ser aplicadas. Sin embargo, primero la SIC deber\u00e1 publicar en su p\u00e1gina web la fecha a partir de la cual empezar\u00e1 a recibir solicitudes para realizar esta revisi\u00f3n y certificaci\u00f3n. <\/p>\n\n\n\n
